Terms of Service

Effective Date: August 2026

Version 1.0

1. Introduction and Acceptance of Terms

These Terms of Service (“Terms”) govern access to and use of the SabiWell website, mobile application, dashboards, messaging tools, booking tools, listings, profiles, paid features, content, support services and any other products or services made available by SabiWell from time to time (together, the “Platform”).

By creating an account, clicking “I agree”, paying for a Platform feature, submitting a booking request, accepting a booking, accessing the Platform or continuing to use the Platform after these Terms become effective, you agree to be bound by these Terms, the Privacy Policy, any Cookie Notice, any applicable Community Guidelines, Artisan Code of Conduct, Refund and Cancellation Policy and any additional terms displayed to you at the point of use or purchase.

If you do not agree to these Terms, you must not access or use the Platform. If you use the Platform on behalf of a company, partnership, business name, association or other organisation, you represent that you have authority to bind that organisation and references to “you” includes that organisation.

These Terms are written for users in Nigeria and are governed by the laws of the Federal Republic of Nigeria. Some mandatory consumer or data protection rights cannot lawfully be excluded by contract; nothing in these Terms is intended to remove such rights.

2. About SabiWell

SabiWell is an online marketplace that helps Customers discover, contact and engage independent Artisans for home improvement, repair, installation, maintenance and related services in Nigeria.

SabiWell is not a construction company, contractor, artisan, employer, employment agency, recruitment business, escrow provider, bank, payment service bank, insurer, guarantor or agent of any Customer or Artisan.

Except where SabiWell expressly states otherwise in writing, any contract for artisan services is entered into directly between the Customer and the Artisan. SabiWell is not a party to that contract and does not itself perform, supervise, warrant, guarantee or insure the artisan services.

SabiWell may provide technology tools, profiles, listings, search, messaging, ratings, reviews, verification indicators, booking tools, customer support and paid visibility or subscription features. These tools do not make SabiWell responsible for the acts, omissions, workmanship, prices, warranties, taxes, licences, permits or professional obligations of any Artisan.

3. Key Definitions

“Account” means a registered user profile created on the Platform.

“Applicable Law” means all laws, regulations, directives, codes, regulatory guidance, court orders and government requirements applicable in Nigeria and, where relevant, any other jurisdiction in which the Platform is lawfully accessed or used.

“Artisan” or “Service Provider” means an independent tradesperson, technician, contractor, business, business name or company registered or listed on the Platform to offer services to Customers.

“Booking” means a request, appointment, lead, engagement, job, order, reservation or arrangement between a Customer and an Artisan through or arising from the Platform.

“Customer” means an individual, household, business or organisation seeking or receiving services from an Artisan.

“Content” means text, photographs, videos, audio, ratings, reviews, profile information, job descriptions, messages, quotations, documents, logos, trademarks and other materials uploaded, transmitted, displayed or otherwise made available on or through the Platform.

“Platform Fees” means subscriptions, listing fees, promotional fees, verification fees, job application fees, featured profile fees, advertising fees, convenience fees or other charges payable to SabiWell for Platform features.

“SabiWell”, “we”, “us” and “our” mean SabiWell Technologies Ltd, trading as SabiWell, with RC number 8599324, registered office at Craig Close, Challenge, Ibadan, Oyo State, Nigeria, or any successor or permitted assignee.

“User” means any person who accesses or uses the Platform, including Customers and Artisans.

4. Eligibility and User Capacity

You must be at least 18 years old and have legal capacity to enter into binding contracts to use the Platform.

You must provide true, accurate, current and complete information during registration and throughout your use of the Platform.

You must not use the Platform if you have previously been suspended or removed unless SabiWell has given you written permission to return.

You are responsible for ensuring that your access to and use of the Platform complies with Applicable Law.

5. Accounts and Security

Certain features require an Account. You agree to keep your login credentials confidential and secure.

You are responsible for all activities carried out through your Account unless you promptly notify SabiWell of unauthorised access and the activity was not caused by your fraud, negligence or breach of these Terms.

SabiWell may require identity, email, telephone, address, business, tax, licence or other verification information before permitting access to certain features.

SabiWell may refuse registration, restrict access, suspend or terminate an Account where information provided is false, incomplete, misleading, unverifiable, fraudulent, unlawful or inconsistent with these Terms.

6. Verification and Trust Indicators

SabiWell may, but is not obliged to, verify Artisans or Customers through one or more methods, including email verification, telephone verification, identity document review, business registration checks, address confirmation, reference checks, portfolio review, licence/permit review, customer feedback, automated tools or third-party verification services.

Verification indicators are provided to improve trust and safety; they are not guarantees of identity, competence, licensing, honesty, reliability, suitability, availability, conduct, financial capacity or quality of workmanship.

Customers remain responsible for carrying out reasonable due diligence before engaging an Artisan, including reviewing profiles, ratings, job history, licences, permits, insurance, references, scope of work, quotation, timeline and warranty terms.

Artisans must ensure that all information submitted for verification is accurate, current and lawfully obtained. SabiWell may remove verification indicators if it later considers them inaccurate, expired, misleading or unsupported.

7. Customer Responsibilities

Customers must provide accurate job descriptions, access details, safety information, location details, and any relevant photographs or specifications.

Customers should request and agree on the scope of work, quotation, materials, timeline, deposit, payment schedule, warranty, cancellation terms and completion standards before work begins.

Customers must treat Artisans respectfully, provide a safe working environment, secure pets/children where appropriate, disclose known hazards, and comply with Applicable Law.

Customers are responsible for inspecting completed work before making payment and for keeping copies of quotations, invoices, receipts, warranties, and communications.

Customers must not request illegal, unsafe, fraudulent, discriminatory, abusive, deceptive or unlicensed services.

8. Artisan Responsibilities

Artisans must provide truthful, accurate and current profile information, qualifications, portfolio details, pricing information, experience, service areas and availability.

Artisans are independent professionals and are solely responsible for the quality, safety, lawfulness, pricing, delivery, supervision, materials, tools, warranties, refunds, taxes, permits, licences and professional obligations relating to their services.

Artisans must perform services with reasonable skill, care and diligence, comply with Applicable Law, comply with applicable building, safety, electrical, plumbing, environmental and trade requirements, and obtain any permits or approvals required for their work.

Artisans must not falsely claim qualifications, certifications, licences, affiliations, insurance, approvals, endorsements, ratings, experience or availability.

Artisans must issue accurate quotations, invoices, receipts and warranty terms where applicable and must honour commitments made to Customers unless lawfully excused.

Artisans must not circumvent Platform rules, manipulate ratings, create fake demands, mislead Customers, misuse Customer’s data, send spam, commit fraud or engage in harassment, intimidation, threats, discrimination or unsafe conduct.

9. Bookings, Quotations and Customer-Artisan Contracts

The Platform may allow Customers to request services and Artisans to accept, reject, quote for or respond to requests. A Booking is not confirmed unless the relevant process on the Platform or the direct agreement between the Customer and Artisan confirms acceptance.

Unless SabiWell expressly agrees otherwise in writing, the contract for artisan services is between the Customer and the Artisan. SabiWell is not responsible for negotiating, supervising, performing, inspecting, approving or paying for the artisan services.

Customers and Artisans should agree to the following before work begins: scope of work, price, deposit, materials, timeline, location, cancellation/rescheduling terms, access, safety requirements, completion criteria, defects process, warranty and payment method.

SabiWell may provide templates, prompts, reminders or best-practice guidance, but these do not constitute legal, technical, construction, engineering, valuation, safety or professional advice.

If the Platform later introduces an integrated payment, escrow, wallet, milestone or managed-service feature, additional terms will apply and may override inconsistent provisions in these Terms for that feature only.

10. Cancellations and Rescheduling

Customers and Artisans may cancel or reschedule Bookings in accordance with the cancellation terms displayed on the Platform or agreed between them, subject always to Applicable Law.

Any cancellation charge imposed by an Artisan must be reasonable, disclosed before confirmation and consistent with Nigerian consumer protection requirements.

Where a Customer is entitled by Applicable Law to cancel an advance booking, reservation or order or to receive a full or partial refund, nothing in these Terms limits that right.

SabiWell may restrict, suspend or remove Users who repeatedly cancel, fail to attend appointments, mislead other Users, abuse cancellation processes or use cancellation to avoid Platform rules.

11. Payments Between Customers and Artisans

Unless otherwise expressly stated, Customers pay Artisans directly for artisan services and SabiWell does not collect, hold, manage, safeguard, split, escrow, release or distribute payments for artisan services.

Customers and Artisans are solely responsible for agreeing prices, deposits, instalments, payment channels, invoices, receipts, refunds, chargebacks, taxes and warranties for artisan services.

SabiWell is not liable for Customer-Artisan payment disputes, non-payment, overpayment, unauthorised payment requests, defective work refunds or chargebacks, except to the extent caused by SabiWell’s own fraud, wilful misconduct or non-excludable legal obligation.

Users must not use the Platform to facilitate money laundering, fraud, bribery, unlawful transfers, illegal transactions or payments for prohibited services.

12. Platform Fees, Paid Features and Taxes

SabiWell may charge Platform Fees for access to or use of certain Platform features, including subscriptions, job application tools, featured profiles, premium listings, advertising, promotional services, verification services, analytics tools or other paid features.

Applicable Platform Fees, billing periods, taxes, renewal status, cancellation terms and key restrictions will be displayed before payment is made.

The payment of Platform Fees only gives access to the relevant Platform feature. It does not guarantee employment, customer enquiries, bookings, jobs, contracts, income, profits, ranking, visibility, selection, customer response, work quality, payment by Customers or any particular commercial result.

SabiWell may change Platform Fees prospectively by giving reasonable notice through the Platform or by other electronic means. Fee changes will not apply retroactively to paid periods already purchased, unless required by law or agreed with the affected User.

Platform Fees may be processed by third-party payment providers. Such providers may apply their own terms, fees, verification requirements, chargeback rules, fraud checks and data processing practices.

Unless otherwise stated, fees are exclusive of applicable taxes, duties, levies or charges. Each User is responsible for taxes arising from their own income, transactions, business activities or use of the Platform.

13. Refunds For Platform Fees

This clause applies to Platform Fees paid to SabiWell. It does not govern payments made directly between Customers and Artisans for artisan services.

Subject to Applicable Law and any specific terms displayed before purchase, Platform Fees for features already delivered or made available may be non-refundable, including subscription fees for an active billing period, featured listing fees, promotional fees, advertising fees and verification review fees.

SabiWell will not rely on a non-refund term where doing so would be unlawful, unfair, unreasonable, unjust or inconsistent with a mandatory consumer right under Nigerian law.

A User may be entitled to a refund or appropriate remedy where SabiWell has charged for a Platform feature that was not provided, was materially misdescribed, was unavailable due to SabiWell’s fault for a material period, or where Applicable Law requires a refund.

Refund requests must be submitted to support@sabiwell.com or through the in-platform support channel with the relevant payment receipt, Account details and reason for the request.

If SabiWell terminates or suspends an Account because of fraud, misuse, illegal conduct, serious breach of these Terms, chargeback abuse, harassment, review manipulation or circumvention, SabiWell may withhold refunds to the extent permitted by Applicable Law.

14. Contact Information, Messaging and Non-Circumvention

The Platform may provide messaging, call-masking, enquiry or contact tools to facilitate communication between Users.

Users must not use Platform messaging to harass, threaten, defraud, spam, mislead, impersonate, send malicious links, request unlawful payments, collect unnecessary personal data or bypass Platform rules.

SabiWell may restrict the sharing of telephone numbers, email addresses, residential addresses, websites, social-media handles, payment details or other contact information before the stage permitted by the Platform workflow.

Where SabiWell restricts off-platform contact, the restriction is intended to protect user safety, prevent fraud, maintain review integrity, enforce paid-feature rules and support dispute resolution. Breach may result in account restriction, suspension, termination or loss of access to paid features.

Users are responsible for information they choose to share with other Users. Users should not share sensitive personal data, bank details, identity documents, access codes or confidential information unless necessary and safe.

15. Reviews, Ratings and Testimonials

Reviews and ratings must be honest, fair, based on genuine experiences and submitted only by Users who had a real interaction or Booking.

Users must not post reviews that are false, misleading, defamatory, abusive, threatening, discriminatory, obscene, irrelevant, commercially motivated, paid for, manipulated, generated by fake accounts or based on conflicts of interest not disclosed.

SabiWell may remove, hide, edit for formatting, label, investigate or refuse to publish reviews that violate these Terms, appear suspicious, are reported, are legally risky or may undermine the integrity of the Platform.

SabiWell does not endorse every review or verify every statement in a review. Reviews reflect user opinions and experiences only.

Artisans must not offer incentives for positive reviews, punish Customers for negative reviews, post reviews about themselves or competitors, or coordinate review manipulation.

16. User Content

Users retain ownership of Content they upload, subject to the licence granted to SabiWell below.

By uploading, submitting, posting or transmitting Content, you grant SabiWell a worldwide, non-exclusive, royalty-free, transferable and sublicensable licence to host, store, reproduce, display, publish, communicate, transmit, distribute, adapt for formatting, translate, moderate, promote and otherwise use that Content for operating, securing, improving, marketing and promoting the Platform and SabiWell’s services.

You represent and warrant that you own or have all rights, permissions and consents required to upload the Content and to grant the licence above.

You must not upload Content that infringes intellectual property, privacy, publicity, confidentiality, data protection, consumer protection or other legal rights; contains malware; is unlawful; is misleading; or exposes another person to risk.

SabiWell may remove, restrict or preserve Content where required by law, requested by a regulator, needed for investigation, necessary to enforce these Terms or reasonably required to protect Users or the Platform.

17. Intellectual Property

The Platform, SabiWell name, logos, trade names, marks, graphics, software, databases, designs, text, arrangement, user interface, workflows, code and other platform materials are owned by or licensed to SabiWell and are protected by intellectual property and related laws.

Except as expressly permitted by SabiWell, you must not copy, scrape, reproduce, modify, adapt, translate, publish, sell, license, reverse engineer, distribute, create derivative works from or commercially exploit any part of the Platform.

No right, title or interest in SabiWell’s intellectual property is transferred to you by reason of your use of the Platform.

If you believe any Content on the Platform infringes your rights, you may submit a complaint to support@sabiwell.com with sufficient details to identify the Content, your rights and the basis of your complaint.

18. Prohibited Conduct

You must not use the Platform to: create fake accounts; impersonate any person; submit false or misleading information; commit fraud; manipulate reviews; misrepresent services; harvest data; scrape the Platform; reverse engineer the Platform; interfere with security; test vulnerabilities without written permission; upload malware; send spam; phish; misuse credentials; launder money; facilitate bribery or corruption; violate sanctions or financial crime laws; harass, threaten or abuse any person; publish defamatory or unlawful content; discriminate unlawfully; or request/provide illegal, unsafe or unlicensed services.

You must not use the Platform in a way that breaches the Cybercrimes (Prohibition, Prevention, etc.) Act, 2015 as amended, any data protection law, consumer protection law, criminal law, intellectual property law or other Applicable Law.

SabiWell may investigate suspected prohibited conduct and may restrict, suspend or terminate access; remove Content; cancel paid features; report matters to regulators or law-enforcement authorities; preserve evidence; or take legal action where appropriate.

19. Platform Availability and Changes

SabiWell aims to provide a reliable Platform but does not guarantee that the Platform will be uninterrupted, error-free, secure, compatible with every device or available at all times.

SabiWell may update, modify, suspend, withdraw or discontinue any feature where reasonably necessary for security, maintenance, legal compliance, business operations, abuse prevention or product improvement.

Where a paid feature is materially affected for reasons within SabiWell’s control, SabiWell will provide an appropriate remedy where required by Applicable Law or the specific paid-feature terms.

20. Privacy and Data Protection

SabiWell will process personal data in accordance with its Privacy Policy and Applicable Law, including the Nigeria Data Protection Act, 2023 where applicable.

The Privacy Policy should explain, among other matters, the categories of personal data collected, purposes of processing, lawful bases, data sharing, payment processors, verification providers, retention periods, cookies/tracking, international transfers, security measures, data subject rights, complaint channels and privacy contact details.

Users must not upload or share another person’s personal data without lawful basis and any required consent. Artisans must use Customer personal data only for the relevant Booking, safety, invoicing, legal compliance or agreed service purpose and must not sell, misuse or retain it unnecessarily.

SabiWell may process, preserve and disclose information where reasonably necessary to protect the Platform, prevent fraud, enforce these Terms, comply with law, respond to legal process, protect Users, resolve disputes or investigate safety/security incidents.

Where SabiWell is required to designate a Data Protection Officer, conduct a data privacy impact assessment, register with the Nigeria Data Protection Commission, file compliance audit returns or enter data-processing agreements, SabiWell will take steps to do so in accordance with Applicable Law.

21. Third-Party Services and Links

The Platform may contain links to third-party websites or integrate third-party services such as payment processors, identity verification providers, analytics providers, hosting providers, messaging providers, maps, social media tools or customer support tools.

SabiWell is not responsible for third-party websites, services, content, policies, fees, failures, security incidents or acts and omissions, except to the extent required by Applicable Law.

Your use of third-party services may be governed by separate terms and privacy notices.

22. Suspension and Termination

SabiWell may restrict, suspend or terminate your Account or access to any feature if SabiWell reasonably believes that you have breached these Terms, created legal or safety risk, provided false information, engaged in prohibited conduct, failed verification, violated payment terms, manipulated reviews, abused another User, infringed rights or used the Platform unlawfully.

SabiWell may act without prior notice where urgent action is reasonably necessary to protect Users, prevent fraud, comply with law, preserve evidence, stop security threats or protect the Platform.

You may stop using the Platform at any time and may request Account closure through the available support channel. Account closure does not affect accrued rights, unpaid fees, pending disputes, lawful data retention, regulatory obligations or provisions intended to survive termination.

Clauses relating to intellectual property, user content licences, payments, refunds, disclaimers, liability, indemnity, dispute resolution, governing law, privacy, enforcement and survival continue after termination to the extent necessary.

23. Complaints, Reports and User Disputes

Users may report unsafe conduct, fraud, harassment, impersonation, false profiles, unlawful content, defective platform features, payment concerns relating to Platform Fees, review disputes or suspected breaches of these Terms through support@sabiwell.com or the in-platform reporting channel.

SabiWell may, at its discretion, review communications, request evidence, contact Users, restrict accounts, remove Content, issue warnings, facilitate communication or take other reasonable steps. SabiWell is not obliged to adjudicate Customer-Artisan disputes or guarantee any outcome.

Disputes about artisan services, workmanship, materials, warranties, payments or refunds are primarily between the Customer and the Artisan. SabiWell may facilitate communication but is not a party to the Customer-Artisan contract.

Nothing in these Terms prevents a consumer from exercising statutory rights or making a complaint to a competent regulator, consumer protection authority, court or other lawful dispute body.

24. Disclaimers

To the fullest extent permitted by Applicable Law, the Platform is provided on an “as is” and “as available” basis.

SabiWell does not warrant that any Artisan is suitable for a particular job, that any Customer will engage an Artisan, that any paid feature will produce business results, that any User Content is accurate, or that any Customer-Artisan contract will be performed.

SabiWell does not provide construction, engineering, architecture, valuation, safety, legal, tax, financial, insurance or professional advice through the Platform.

Nothing in these Terms excludes any warranty, condition, right or liability that cannot be excluded under Applicable Law.

25. Limitation of Liability

To the fullest extent permitted by Applicable Law, SabiWell will not be liable for losses arising from or relating to: the acts or omissions of Users; artisan workmanship; defective or unsafe services performed by Artisans; delays or cancellations by Users; Customer-Artisan payment disputes; Customer-Artisan contracts; off-platform communications; loss of profit, revenue, goodwill, opportunity, data or anticipated savings; indirect, incidental, special, punitive or consequential loss; or events outside SabiWell’s reasonable control.

SabiWell’s liability for Platform Fees paid to SabiWell in connection with a specific paid feature will, to the fullest extent permitted by Applicable Law, be limited to the amount actually paid to SabiWell for that feature during the three months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, wilful misconduct, gross negligence, death or personal injury caused by SabiWell’s own negligence, statutory consumer rights that cannot be excluded, data protection obligations that cannot be excluded, or any liability that cannot lawfully be excluded or limited.

The limitations in this clause apply whether the claim arises in contract, tort, negligence, breach of statutory duty, misrepresentation, restitution or otherwise.

26. Indemnity

To the fullest extent permitted by Applicable Law, you agree to indemnify and hold harmless SabiWell, its directors, officers, employees, contractors, agents, affiliates and representatives from and against claims, losses, liabilities, damages, penalties, fines, costs and expenses arising from or relating to your breach of these Terms, misuse of the Platform, unlawful conduct, User Content, Customer-Artisan dispute, tax obligation, infringement of rights, fraud, misrepresentation, negligence or violation of Applicable Law.

SabiWell will use reasonable efforts to notify you of any indemnified claim and may control or participate in the defence and settlement of the claim. You must not settle any claim in a way that imposes liability or obligation on SabiWell without SabiWell’s prior written consent.

27. Force Majeure

SabiWell will not be liable for delay or failure to perform any obligation caused by events beyond its reasonable control, including acts of God, natural disasters, epidemics, war, terrorism, civil unrest, labour disputes, government action, regulatory action, power failure, telecommunications failure, internet outage, payment processor failure, cyberattack, hosting failure or failure of third-party service providers.

28. Changes to These Terms

SabiWell may amend these Terms from time to time. Updated Terms will be posted on the Platform with a revised effective date.

Where changes are material, SabiWell will use reasonable efforts to notify registered Users by in-platform notice, email or other electronic means before the changes take effect.

Continued use of the Platform after the effective date of updated Terms constitutes acceptance of the updated Terms. If you do not agree to updated Terms, you must stop using the Platform and, where applicable, cancel paid features in accordance with their cancellation terms.

29. Notices and Electronic Communications

You agree that SabiWell may send notices, receipts, updates, policy changes, support messages, security alerts, verification requests and other communications electronically through the Platform, email, SMS, WhatsApp, push notification or other contact details provided by you.

You are responsible for keeping your contact details current. Notices sent to your last provided contact details will be deemed received unless SabiWell receives a delivery failure notice or Applicable Law requires another method.

30. Assignment

You may not transfer or assign your rights or obligations under these Terms without SabiWell’s prior written consent.

SabiWell may assign, transfer or novate its rights and obligations under these Terms to an affiliate, successor, purchaser, investor, acquirer or operator of the Platform, provided that such transfer does not unlawfully reduce mandatory consumer or data protection rights.

31. Severability and Waiver

If any provision of these Terms is held invalid, illegal or unenforceable, that provision will be modified to the minimum extent necessary to make it valid and enforceable, or severed if modification is not possible, and the remaining provisions will continue in full force.

A failure or delay by SabiWell to enforce any provision is not a waiver of that provision or any other right. A waiver must be in writing and applies only to the specific instance stated.

32. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Federal Republic of Nigeria.

Before commencing formal proceedings, a User must first contact SabiWell through support@sabiwell.com and provide reasonable details of the dispute. The parties will attempt in good faith to resolve the dispute within 14 days, unless urgent injunctive, safety, fraud, data protection, intellectual property or regulatory relief is required.

For disputes between SabiWell and an Artisan or other business user arising from paid features, subscriptions or commercial use of the Platform, the parties may refer the dispute to mediation and, if unresolved, to arbitration in Lagos, Nigeria under the Arbitration and Mediation Act, 2023, unless SabiWell elects to proceed before a court of competent jurisdiction for debt recovery, injunctive relief, fraud, IP protection or enforcement of these Terms.

For consumer disputes, nothing in these Terms prevents a Customer from exercising statutory consumer rights, reporting to a competent consumer protection authority, or approaching a court of competent jurisdiction in Nigeria.

Subject to mandatory law and the consumer protection carve-out above, Nigerian courts of competent jurisdiction will have jurisdiction over disputes arising from or relating to these Terms, the Platform or SabiWell’s services.

33. Entire Agreement

These Terms, together with the Privacy Policy, Cookie Notice, any applicable paid-feature terms, community guidelines, refund/cancellation terms and additional terms displayed on the Platform, constitute the entire agreement between you and SabiWell regarding use of the Platform.

If there is a conflict between these Terms and feature-specific terms displayed at the point of purchase or use, the feature-specific terms will apply to that feature to the extent of the conflict, provided they are lawful and clearly disclosed.
